1. Acceptance of Terms & Eligibility

These Terms & Conditions ("Terms", "Agreement") constitute a legally binding agreement between MenuQRO Technologies ("MenuQRO", "we", "us") and the restaurant merchant, owner, or business operator ("Merchant", "you", "user").

To use MenuQRO, you represent that you are at least 18 years of age and legally authorized to enter into binding contracts on behalf of your food and beverage establishment.

2. Description of SaaS Services

MenuQRO provides a cloud-native restaurant management software suite, which includes:

• Interactive QR Digital Menus: Mobile-optimized guest menus featuring dish photographs, allergen filters, and tableside ordering.
• Cashier & Waiter POS Terminal: Fast order entry, split bill calculations, and GST compliant receipt settlement.
• Kitchen Display System (KDS): Real-time production ticket queues with optional Indian voice TTS alerts.
• Dual Thermal Print Spooler: Background hardware routing for kitchen KOT slips and cashier customer bills (ESC/POS compatible).
• Staff PIN Management: Granular role-based logins (Owner, Manager, Cashier, Chef, Waiter) with 4-digit PIN authentication.

3. Transparent Subscription Tiers & Pricing

All subscription fees are billed in Indian Rupees (INR) with complete transparency. Invoices include applicable GST (18%) with the Merchant's GSTIN where provided.

Zero Commission Guarantee: MenuQRO does not take a percentage cut of your food orders, dine-in bills, or takeaway transactions. All revenue generated through your restaurant stays 100% with your establishment.

4. Payment, Invoicing & Renewals

• Payment Processing: Software subscriptions are paid via authorized payment gateways (Razorpay, Cashfree, Credit/Debit Cards, Net Banking, or UPI AutoPay).
• Immediate Activation: Upon successful transaction verification, your software license and cloud tenant are provisioned immediately with 0-second latency.
• Tax Invoicing: Digitally signed GST-compliant tax invoices are dispatched via email to the registered address immediately upon successful payment.
• Renewal & Cancellation: Subscriptions renew automatically unless cancelled prior to the renewal date. You may cancel recurring billing at any time without cancellation penalties.

5. Merchant Responsibilities & Acceptable Use

As a MenuQRO Merchant, you agree to:

• Provide accurate menu pricing, descriptions, and tax percentages in accordance with local regulations and FSSAI food safety guidelines.
• Safeguard your master owner credentials and 4-digit manager PINs to prevent unauthorized terminal access.
• Not reverse engineer, decompile, redistribute, or build unauthorized derivatives of MenuQRO source code.
• Not use the platform for unlawful, fraudulent, or defamatory activities.

6. Intellectual Property & Brand Rights

All software architecture, vector graphics, icons, user interfaces, documentation, and the MenuQRO trademark are the proprietary intellectual property of MenuQRO Technologies. Merchants retain 100% exclusive ownership of their restaurant menu catalogs, dish photos, brand logos, and trade names.

7. Service Availability & 99.9% SLA Target

MenuQRO strives to maintain a 99.9% uptime target. Our platform incorporates offline-first service worker architecture and local network printer bridges to ensure that restaurants can continue generating KOTs and settling bills locally even during temporary broadband interruptions.

Scheduled maintenance is conducted during early morning non-peak hospitality hours (typically 2:00 AM – 5:00 AM IST) with prior dashboard notification.

8. Limitation of Liability

To the maximum extent permitted by applicable Indian law, MenuQRO shall not be liable for indirect, incidental, or consequential damages resulting from restaurant operational disputes, food quality claims, local third-party hardware failures, or internet service provider outages.

9. Governing Law & Dispute Resolution

This Agreement is governed by and construed in accordance with the Laws of India. In the event of any dispute arising out of or related to these Terms, the parties shall first attempt amicable resolution within 30 days. If unresolved, the competent courts located in Jaipur, Rajasthan, India shall possess exclusive jurisdiction.
